The Shareholder, a South African national, wanted to repatriate and wanting a clean exit solution to accommodate this. Our brief was to sell 100% of the share capital on his behalf.
Following instruction, we completed a full information memorandum and executive summary for the opportunity, including financial history, forecasts, cash flows, net profit adjustments and valuation projections.
Research identified a variety of potential trade purchasers.
We received 32 non-disclosure agreements and sent out 24 full information memoranda, resulting in three requests to meet the Shareholder.
One of the interested parties was a UK national living and working in New York who was looking to relocate back to the UK with his family. Having seen the advert for the business on the Lucas & Weston website he contacted us to arrange to meet with the Vendor in London.
Despite the buyer having no formal fire prevention experience, the business was a good fit being run under management. A suitable offer was negotiated.
The deal involved parties from the US, South Africa and a UK Limited Company. Multiple time zones and multiple continents.
Following a successful legal and due diligence process a deal was concluded, and the business transferred.
